Terms of Service

These Terms of Service govern your use of Colexi. Colexi is a language-learning platform that helps learners turn books, articles, YouTube videos, class lessons, diary writing, flashcards, speaking practice, and other study material into learning support.

By creating an account, signing in, starting a subscription, or using Colexi, you agree to these Terms. If you do not agree, do not use the service.

1. Who Can Use Colexi

You may use Colexi only if you can legally enter into these Terms. If you are under the age required to consent to online services in your country, you may use Colexi only with permission from a parent, guardian, school, or other authorized adult.

You are responsible for the information you provide and for keeping your account credentials secure. If you believe your account has been accessed without permission, contact us at [email protected].

2. Accounts and Study Profiles

You may need an account to use most features. You agree to provide accurate account information and keep it up to date.

Your account may include study profiles, language settings, imported sources, generated study notes, flashcards, diary entries, speech practice, progress, and billing status. You are responsible for activity that happens through your account unless it was caused by our failure to protect the service.

3. Subscriptions, Billing, and Cancellation

Some features require a paid subscription or plan. Prices, plan limits, renewal periods, trial terms, and included features are shown during checkout or in the billing area.

Subscriptions may renew automatically unless you cancel before the renewal date. We aim to make cancellation straightforward through the billing settings or billing provider portal. Cancellation stops future renewals but does not automatically refund past charges unless the plan terms, payment provider, or applicable law requires it.

We do not store full payment card numbers. Payments and subscription management may be processed by third-party payment providers.

Nothing in these Terms limits mandatory refund, cancellation, withdrawal, chargeback, or consumer rights that apply where you live.

4. Learning Content You Provide

You may upload, paste, import, record, or otherwise provide content such as text, URLs, transcripts, book material, article material, class material, diary writing, prompts, speech recordings, and messages.

You keep ownership of content you provide. You give Colexi a limited license to host, process, reproduce, transform, transmit, display, and use that content only as needed to operate, secure, support, and improve the service and to provide the features you request.

You must have the rights or permission needed to provide content to Colexi. Do not upload content that is illegal, confidential without authorization, or violates someone else’s rights.

5. AI Output and Learning Support

Colexi uses AI and related services to generate summaries, translations, explanations, study notes, flashcards, writing feedback, audio, images, chat responses, and speaking support.

AI output can be incomplete, inaccurate, or inappropriate for your exact context. It is provided for language-learning support only. You should review important output before relying on it, especially translations, factual claims, grammar explanations, speech feedback, and study recommendations.

AI output is not legal, medical, financial, immigration, academic-integrity, or professional advice. You are responsible for how you use generated output.

6. Acceptable Use

You agree not to misuse Colexi. This means you must not:

  • break the law or violate another person’s rights;
  • upload malware, harmful code, or abusive content;
  • attempt to access accounts, data, systems, or features without permission;
  • scrape, overload, reverse engineer, or interfere with the service;
  • use the service to create spam, fraud, phishing, harassment, or deceptive content;
  • bypass subscription limits, usage limits, rate limits, security controls, or access controls;
  • submit content you do not have the right to use;
  • use Colexi to make high-stakes decisions without appropriate human review.

We may investigate suspected misuse and may limit, suspend, or terminate access where reasonably necessary to protect users, the service, or legal rights.

7. Third-Party Services and Content

Colexi may connect to or rely on third-party services, including payment providers, authentication providers, hosting providers, AI providers, speech providers, transcript providers, video platforms, and source websites.

Third-party services may have their own terms and privacy notices. We are not responsible for third-party content, outages, policy changes, or services we do not control.

When you import content from a third-party source, you are responsible for complying with that source’s rights, restrictions, and terms.

8. Intellectual Property

Colexi, including its software, interface, branding, design, workflows, and original platform content, is owned by us or our licensors and is protected by intellectual property laws.

These Terms do not give you ownership of Colexi. You may use the service only as allowed by these Terms and the features made available to you.

9. Service Changes and Availability

We may change, add, limit, or remove features from time to time. We may also perform maintenance, address security issues, or respond to provider outages.

We try to keep Colexi reliable, but we do not guarantee that the service will always be available, uninterrupted, secure, or error-free.

10. Account Suspension or Termination

You may stop using Colexi at any time. You may also request account deletion or data assistance through the privacy contact.

We may suspend or terminate access if you violate these Terms, create risk for the service or other users, fail to pay required fees, or use the service in a way that could cause legal or security harm.

Where reasonable, we will try to give notice before termination, but we may act immediately for serious abuse, security risk, or legal requirements.

11. Disclaimers

Colexi is provided on an “as is” and “as available” basis, to the fullest extent allowed by law.

We do not promise that Colexi will meet every learning goal, produce perfect output, improve your language level by a specific amount, or be suitable for every educational setting.

Some laws do not allow certain disclaimers. In those places, the disclaimers apply only to the extent allowed by law.

12. Limitation of Liability

To the fullest extent allowed by law, Colexi and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.

To the fullest extent allowed by law, our total liability for claims relating to the service will be limited to the amount you paid for Colexi during the 12 months before the claim, or 100 USD if you did not pay for the service.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, intentional misconduct, or rights that cannot be waived under applicable consumer law.

13. Consumer Rights

If you use Colexi as a consumer, you may have mandatory rights under the laws where you live. These Terms do not limit those mandatory rights.

If any part of these Terms conflicts with mandatory consumer protection law, the mandatory law controls for that conflict.

14. Changes to These Terms

We may update these Terms as the service, subscriptions, providers, or legal requirements change. If changes are material, we will take reasonable steps to notify you, such as by updating this page, sending an email, or showing an in-app notice.

Your continued use of Colexi after updated Terms take effect means you accept the updated Terms.
